I wish I had a better answer for you. As for redistributing the file, that would be included in the user agreement when you obtain the file. I know it will be a lot of work initially, but I would recommend making the transition to html based help.
Winhlp is being shutdown so chances are you will have problems with it. Actually, KB now does not say that the download will be available for the consumer release.
